IMPORTANT: By clicking "I Agree," creating an account, or continuing to use the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in full. If you do not agree, please do not use the Platform. This agreement is entered into electronically in accordance with the Electronic Transactions Ordinance (Cap. 553) of the Laws of Hong Kong.

1. Definitions and Interpretation

  • "Platform" means the FlatCheck website (flatcheckai.com), mobile application, and all related services operated by ArcheLab Limited.
  • "Company," "we," "our," or "us" means ArcheLab Limited, a company incorporated in Hong Kong.
  • "Fifi" means the Platform's artificial intelligence assistant that provides conversational property search, market intelligence, and related AI-powered features.
  • "FitScore" means an AI-generated property intelligence report produced by Fifi, covering factors such as market data, transaction history, nearby amenities, infrastructure developments, and other publicly available information.
  • "AI Output" means any content, analysis, score, recommendation, report, lease template, or other material generated or substantially produced by Fifi or other artificial intelligence technologies on the Platform.
  • "Member" or "User" means any individual or entity that registers an account on the Platform, including Renters, Landlords, and Agents.
  • "Listing" means a property advertisement published on the Platform by a Landlord or Agent.
  • "Credits" means any pre-paid balance, Fifi Boosts, or promotional credits held in a Member's account.
  • "Content" means any text, photos, videos, data, documents, or other materials uploaded, submitted, or published by a Member on the Platform.

2. Platform Role and Estate Agency Disclaimer

IMPORTANT NOTICE REGARDING THE ESTATE AGENTS ORDINANCE (CAP. 511)

FlatCheck is an online property listing, advertising, and information platform only. ArcheLab Limited is NOT a licensed estate agent or salesperson under the Estate Agents Ordinance (Cap. 511) and does not carry out estate agency work as defined thereunder.

Without limitation, ArcheLab Limited and the Platform:

  • do not introduce, negotiate, or act on behalf of any party in property transactions;
  • do not provide estate agency services, property valuations, or transaction advice;
  • do not accept or hold any deposits, earnest money, or funds related to property transactions;
  • do not arrange or facilitate property viewings as an intermediary;
  • do not receive any commission, fee, or other remuneration tied to the completion of any property transaction.

All property listings on the Platform are advertisements placed by individual landlords, property owners, or licensed estate agents acting in their own capacity. Any communication, negotiation, viewing arrangement, or transaction between Members is conducted solely between those Members at their own risk.

Fifi is an AI assistant that provides market data, property information, and general guidance for informational purposes. Fifi does not act as, and should not be treated as, an estate agent, property advisor, or professional consultant.

3. Account Registration and Management

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to register for an account. By registering, you represent and warrant that you meet these requirements.

3.2 Single Account Policy

Each individual may only register one account on the Platform. Each property agency company may only register one company account. Account usage rights may not be transferred, shared with, or lent to third parties.

3.3 Accurate Information

You must provide truthful, accurate, and complete information during registration and keep your account information updated. If you are a licensed estate agent, you must truthfully provide your Estate Agents Authority (EAA) licence number and related information at registration, regardless of the reason for registering. Failure to disclose agent status may result in immediate suspension of all listing and commenting privileges until correct information is provided.

3.4 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at legal@archelabhk.com if you become aware of any unauthorised use of your account.

3.5 Violation Handling

If it is confirmed that the same person or company has registered more than one account, the Platform reserves the right to immediately freeze or terminate all related accounts without prior notice. Any remaining Credits in the account will be forfeited as liquidated damages and will not be refunded. The Platform reserves the right to recover administrative costs and related losses arising from duplicate registrations.

4. Data Ownership and Account Deletion

4.1 Data Ownership

Account data and records generated after Member registration (including but not limited to activity logs, transaction records, and system-generated analytics) are considered assets of the Platform's database. This does not affect your rights as a data subject under the Personal Data (Privacy) Ordinance (Cap. 486).

4.2 Account Deletion

Members may request account deletion by submitting a written request to legal@archelabhk.com. You must settle any outstanding service fees before account deletion is processed. Certain data may be retained after deletion in accordance with our Privacy Policy and applicable legal requirements.

5. Artificial Intelligence Features and Disclaimers

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY

The Platform uses artificial intelligence technologies to generate content, analyses, scores, and recommendations. AI Outputs are inherently probabilistic and may contain errors, inaccuracies, or omissions. No advisory, fiduciary, or professional relationship is created by your use of any AI feature.

5.1 General AI Disclaimer

All AI Outputs on the Platform, including but not limited to FitScore reports, market intelligence, pricing guidance, lease templates, neighbourhood analyses, and listing descriptions, are provided for general informational purposes only. You acknowledge and agree that:

  • AI Outputs do not constitute and shall not be construed as legal advice, financial advice, investment advice, professional property valuation, surveying opinion, or any other form of professional recommendation;
  • you will not rely solely on AI Outputs for any material decision, including but not limited to decisions to lease, purchase, sell, or invest in any property;
  • you should seek independent professional advice from a qualified solicitor, surveyor, financial advisor, or other relevant professional where appropriate; and
  • the Company shall not be liable for any loss, damage, or expense arising from your use of or reliance on AI Outputs, except to the extent such liability cannot be excluded or limited under the laws of Hong Kong.

5.2 FitScore Reports

FitScore is an AI-generated property intelligence report compiled from publicly available data sources, including but not limited to government records, news reports, transaction databases, and web sources. FitScore is not a professional property valuation, survey, or inspection. FitScore may include information regarding past incidents associated with specific addresses, compiled from publicly available sources. There is no legal definition of such classifications in Hong Kong law, and the Company makes no warranty as to the completeness or accuracy of such data. If you believe any information in a FitScore is inaccurate, please contact us and we will review it.

5.3 AI Lease Templates

Lease templates generated by Fifi are provided as reference drafts only. They do not constitute legal advice and are not a substitute for independent legal counsel. Both parties to any lease should seek independent legal advice from a qualified Hong Kong solicitor before signing. The Company is not responsible for the legal adequacy, enforceability, or suitability of any AI-generated lease template for your specific circumstances.

5.4 AI Pricing and Market Guidance

Any pricing suggestions, rental yield estimates, market analysis, or comparable data provided by Fifi are AI-generated estimates for reference only. They do not constitute professional valuations, investment advice, or financial recommendations. Actual market values may differ materially from AI-generated estimates.

5.5 Voice Input

When you use the voice input feature, your voice recording is transmitted to our AI service provider for speech-to-text conversion to facilitate your interaction with Fifi. You may use text input as an alternative to voice input at any time. Further details regarding the processing of voice data are set out in our Privacy Policy.

6. Content Publishing, Authorisation, and Guidelines

6.1 Content Responsibility

The Platform provides a venue for information publishing. Except for announcements published by Platform staff, all property listings, images, data, and files posted by Members are the sole responsibility of the Member who posted them. Members must ensure that their Content is truthful, accurate, and complies with the laws of Hong Kong and the guidelines of the Estate Agents Authority.

6.2 Intellectual Property Licence

When you upload any Content to the Platform (including photos, videos, text, and documents), you retain ownership of your original Content but grant the Company a permanent, worldwide, royalty-free, non-exclusive, sub-licensable licence to use, reproduce, modify, adapt, display, distribute, and create derivative works of such Content for the purposes of operating, promoting, and improving the Platform. This licence includes the right to use AI technologies to enhance, modify, or generate derivative content from your uploads (for example, polishing listing descriptions or analysing photos to generate listing details). The Platform reserves the right to add watermarks to images uploaded by Members to protect copyright, and Members may not object to such watermarking.

6.3 AI-Generated and AI-Enhanced Content

Where the Platform's AI generates new content based on your inputs (such as full listing descriptions created by Fifi from your photos and answers), the resulting AI-generated content is owned by the Company. You are granted a non-exclusive, non-transferable licence to use such AI-generated content in connection with your Listing on the Platform. Where AI enhances or modifies your original Content (such as polishing a description you wrote), you retain ownership of your original contribution, and the Company owns any new creative elements added by the AI.

6.4 Prohibited Conduct

Members shall not:

  • post content that is illegal, threatening, harassing, defamatory, obscene, libellous, privacy-infringing, racially discriminatory, or morally offensive;
  • post promotional advertisements except in designated advertising areas;
  • post links or direct users to competing property listing platforms by any means, whether direct or indirect;
  • post fake, misleading, or substantially inaccurate property listings;
  • use the Platform to conduct or facilitate estate agency work without a valid EAA licence;
  • use system vulnerabilities, bots, plug-ins, or any improper means to interfere with the ranking, display, or operation of listings on the Platform; or
  • attempt to reverse-engineer, copy, or replicate any AI feature, algorithm, or proprietary technology of the Platform.

6.5 Content Moderation

The Company reserves the right to review, edit, move, or remove any Content on the Platform at any time, for any reason, without prior notice or compensation. This includes but is not limited to Content that violates these Terms, is the subject of a complaint, or is otherwise deemed inappropriate at the Company's sole discretion.

6.6 Violation Penalties

The Company has sole authority to determine whether a violation has occurred and the appropriate severity of response. If any violation of Section 6.4 is discovered, the Platform reserves the right to immediately delete the relevant Content, suspend listing privileges, or block the account without prior notice. Any stored Credits will not be refunded.

7. Landlord Verification

To maintain platform trust and listing quality, all Landlord listings require ownership verification. Verification is conducted by AI-assisted review of ownership-linked documents (such as rates notes, government rent notes, management fee statements, or mortgage statements) that you voluntarily upload. Verification documents are processed for the sole purpose of confirming property ownership and are deleted after verification is complete. The Platform does not collect, store, or process Hong Kong Identity Card (HKID) numbers or copies for the purpose of landlord verification.

Verification confirms only that you have provided a document linking your name to the property address. It does not constitute a legal opinion on ownership, title, or your right to lease the property. The Company is not liable for any fraud, misrepresentation, or dispute arising from a Member's ownership claims.

8. Paid Services, Payments, and Refunds

8.1 Pricing and Payment

The Platform offers paid services including but not limited to Landlord Listings and Agent Subscriptions. All prices are stated in Hong Kong Dollars (HKD) and are as displayed on the Platform at the time of purchase. The Company reserves the right to change pricing with 30 days' advance notice to affected Members.

8.2 Payment Processing

All payments are processed through our third-party payment processor. By making a payment, you also agree to the payment processor's terms of service. The Company does not store your full credit card or payment details on its servers.

8.3 Subscriptions and Auto-Renewal

Agent Pro subscriptions are billed monthly and automatically renew until cancelled. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle. You will retain access to paid features until the end of the period you have already paid for. No partial refunds will be issued for unused portions of a billing period.

8.4 Refund Policy

One-time payments for Landlord listings are non-refundable once listing features have been activated. If a material technical defect on our part prevents you from using the paid service for which you have paid, please contact us at legal@archelabhk.com within 14 days and we will assess your request on a case-by-case basis.

8.5 Listing Duration and Renewal

Listings are published for the duration specified at the time of purchase (60 days for Verified, 90 days for Pro). The Platform will send email reminders before listing expiry. One-click renewal is available at the applicable renewal price. Expired listings are automatically de-listed and will no longer appear in search results or on the map.

9. Disclaimer of Warranties and Limitation of Liability

9.1 "As Is" Basis

The Platform and all services, features, Content, AI Outputs, and information provided thereon are made available on an "as is" and "as available" basis. To the fullest extent permitted by the laws of Hong Kong, the Company disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2 No Guarantee of Accuracy

The Company does not guarantee the truthfulness, accuracy, completeness, or reliability of any Content posted by Members or any AI Output generated by the Platform. All information is for reference only. Members and visitors should make their own independent enquiries and exercise their own judgement.

9.3 Service Availability

The Company does not guarantee that the Platform will be uninterrupted, timely, secure, or error-free. The Company is not liable for any service suspension, delay, or data loss caused by system maintenance, network congestion, cyber-attacks, or force majeure events (including but not limited to natural disasters, pandemics, government actions, power failures, and telecommunications failures).

9.4 Limitation of Liability

To the fullest extent permitted by the laws of Hong Kong:

  • The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or in connection with your use of or inability to use the Platform, including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill;
  • The Company's total aggregate liability to you for all claims arising from or in connection with these Terms or your use of the Platform shall not exceed the total fees paid by you to the Company in the twelve (12) months immediately preceding the event giving rise to the claim, or HK$1,000, whichever is greater; and
  • Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded or limited under the laws of Hong Kong.

9.5 Assumption of Risk

All communications, negotiations, property viewings, and transactions between Members are conducted at the sole risk of the parties involved. The Company is not a party to any agreement between Members and has no authority or responsibility to intervene in any dispute between Members. If any disputes or conflicts arise between Members, they are unrelated to the Platform.

10. Suspension and Termination

The Company reserves the right to suspend, restrict, or terminate your account or access to the Platform at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, suspected fraudulent or illegal activity, requests from law enforcement, or extended periods of inactivity. Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and intellectual property) shall continue in effect.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, agents, and affiliates from and against any and all claims, demands, actions, suits, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or in connection with:

  • your violation of these Terms;
  • your Content or any material you submit, post, or transmit through the Platform;
  • your infringement of any intellectual property or other rights of any third party;
  • your violation of any applicable law or regulation; or
  • any dispute between you and another Member or third party arising from use of the Platform.

12. Platform Intellectual Property

All intellectual property rights in the Platform, including but not limited to the FlatCheck name, the Fifi name and character, the FitScore system, proprietary algorithms, software, design elements, logos, trademarks, and all Platform-generated content, are and shall remain the exclusive property of ArcheLab Limited or its licensors. Nothing in these Terms grants you any right, title, or interest in such intellectual property except the limited right to use the Platform in accordance with these Terms.

13. Third-Party Content and Links

The Platform may display content from, or contain links to, third-party websites, services, or data sources (including government databases, news sources, and web search results). Such third-party content is provided for informational purposes only. The Company does not endorse, control, or assume responsibility for the accuracy, completeness, or availability of any third-party content. Your use of third-party websites or services is at your own risk and subject to their respective terms.

14. Service Modifications

The Company reserves the right to modify, suspend, or discontinue any feature or service on the Platform (including AI-powered features) at any time, with or without notice. The Company shall not be liable to you or any third party for any modification, suspension, or discontinuation of any feature or service.

15. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal data in accordance with the Personal Data (Privacy) Ordinance (Cap. 486).

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

16.2 Jurisdiction

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.

16.3 Informal Resolution

Before commencing any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@archelabhk.com. We will endeavour to resolve any complaint or dispute within 30 days.

17. Amendment of Terms

The Company reserves the right to amend, modify, or update these Terms at any time by posting the updated version on the Platform. Your continued use of the Platform after such posting constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Platform and may request account deletion in accordance with Section 4.2.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and the Company regarding your use of the Platform.

18.2 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed, and the remaining provisions shall continue in full force and effect.

18.3 Waiver

No failure or delay by the Company in exercising any right under these Terms shall constitute a waiver of that right.

18.4 Assignment

The Company may assign or transfer its rights and obligations under these Terms to any affiliate or successor entity. You may not assign or transfer your rights or obligations without our prior written consent.

18.5 Language

These Terms are provided in English. If a Chinese translation is provided in the future, the English version shall prevail in the event of any inconsistency.
